Terms & Conditions

These Terms govern:

• The sale of Hot Baristas coffee stations
• The use of the Hot Baristas brand and system by Partners
• The operation of machines under the Hot Baristas concept

Hot Baristas sells automated coffee stations to Partners.

Although the Partner owns the machine, it must be operated exclusively under the Hot Baristas system, brand, and rules.

• The Partner owns the physical machine after full payment
• Hot Baristas retains full ownership of:
  • Brand
  • Visual identity
  • Recipes and product specifications
  • Operating system and concept

Ownership of the machine does not grant ownership of the business model.

Partners agree to:

• Use only approved Hot Baristas ingredients (coffee, matcha, etc.)
• Follow pricing, menu, and product standards if defined
• Maintain the visual identity of the machine
• Operate the machine in line with brand guidelines

Partners may NOT:

• Use third-party coffee or ingredients
• Modify recipes or product quality
• Rebrand or alter the concept

Hot Baristas may:

• Require Partners to purchase key ingredients or consumables from approved suppliers
• Define product specifications to ensure consistency

Failure to comply may result in termination of brand usage rights.

Hot Baristas provides:

• Initial onboarding
• Operational guidance
• Remote support

Hot Baristas does not guarantee maintenance or repair services, unless separately agreed.

The Partner is fully responsible for:

• Daily operations
• Cleaning and refilling
• Machine upkeep
• Business performance

Hot Baristas does not guarantee:

• Revenue
• Profitability
• Sales performance

All financial outcomes depend on the Partner.

Partners are granted a limited, non-transferable license to use the Hot Baristas brand.

This license:

• Applies only to the purchased machine
• Can be revoked if rules are violated

If a Partner:

• Uses unauthorized ingredients
• Damages brand integrity
• Violates operational rules

Hot Baristas may:

• Revoke brand usage rights
• Terminate cooperation
• Require removal of branding

To the maximum extent permitted by law:

• Hot Baristas is not liable for business losses
• Liability is limited to the value of the machine purchase

These Terms are governed by the laws of the Czech Republic.
